Welcome to the Malam Cloud website (“Website“), operated by Malam Systems Ltd. (“Company“) from the Malam Group. The Website provides users with information about some of the services offered by the Company. The T&C are drafted in the masculine form for convenience only and apply equally to all genders. Section titles in these Terms are for convenience and navigation purposes only and do not serve as interpretative tools.

“User” or “You” – Any individual or entity who views, browses, or uses the Website.

“Services” – Products and/or services and/or solutions offered by the Company.

“Malam Group” – Includes the Company and all subsidiaries and affiliated companies of Malam Ltd.

 

Acceptance of Terms

Use, access, viewing, or browsing of the Website is subject to and conditioned upon the User’s agreement to these terms and conditions (“T&C“) and the Privacy Policy (together, the “Terms“). If you do not agree, do not use this Website. The Company reserves the right, without prejudice to any other remedy available under law or any agreement, to deny access to any User who violates the T&C or makes improper use of the Website.

Information and Intellectual Property

All information on the Website, including but not limited to code, design, icons, content, and service information (“Information“), is owned by the Company and/or other entities in Malam Group and, in part, by third parties who have authorized its use (“Information Providers”). All intellectual property rights, including trademarks, patents, copyrights, designs, and trade secrets related to the Information or the Website, belong exclusively to the Company and/or the Malam Group, except for certain Information owned by the Information Providers.

Feedback and Publication

The User is not obligated to provide the Company with feedback, comments, ideas, improvements, or suggestions regarding the Company, the Services, or any other matter (“Feedback”). However, should the User provide Feedback, it shall be considered non-confidential, and the User grants the Malam Group an irrevocable, worldwide, unlimited, and royalty-free right to use and exploit such Feedback for any purpose.

Authorized Use of the Website

The Website may only be used by individuals who have agreed to the Terms, undertaken to comply with it, and who are legally competent to enter into binding agreements. If you are a minor (under 18) or otherwise lack legal capacity, you must inform your parents or legal guardians (“Parents”) about the Terms and obtain their consent for any activity on the Website. The Parents are responsible for informing minors about the Terms and supervising their activity to ensure compliance. Any activity conducted by minors on the Website constitutes agreement by both the minors and their Parents to these Terms.

The Company reserves the right to modify the Terms at any time without prior notice, discontinue the Website, restrict access, limit specific actions, or update its content and Information at its sole discretion.

Third-Party Components

The Website may display, use, or include third-party information or components (“Third-Party Components”), subject to their respective T&C and licenses. Third-Party Components are provided “as is” without any representation or warranty from the Company. Any access or use of Third-Party Components is at the User’s sole risk, and the Company or Malam Group shall bear no liability regarding their use, accuracy, completeness, legality, copyright compliance, suitability, quality, or any other aspect.

Displayed Services on the Website

The Company does not guarantee continuous or uninterrupted availability of all Information on the Website and may alter its content and/or Services at its sole discretion without prior notice.

The binding pricing and purchase terms of the services shall be as detailed in a quotation or signed agreement between the Company and the customer. In case of any discrepancy between the Website and an official Company document (such as a quotation), the Company’s official document shall prevail.

Restrictions on Use

Users agree to use the Website solely for personal, lawful, and ethical purposes, subject to the Terms. Without limiting the foregoing, Users agree not to:

  1. Permit third parties to use the Website or Information or grant them any rights therein;
  2. Use the Website for commercial purposes, profit-making activities, or store its content on other sites;
  3. Reverse-engineer, decompile, modify, or use the Website for unlawful, unauthorized, or commercial purposes or to compete with the Malam Group;
  4. Violate any laws, the Terms, or any third-party rights, including intellectual property rights;
  5. Send spam, collect Website data via software or third-party tools, inject viruses or malicious code, or disrupt Website operations;
  6. Provide misleading information, impersonate others, or submit false details about identity or affiliation;
  7. Copy, duplicate, print, distribute, send, translate, transmit, or publish Website content or allow third parties to do so.

Liability Limitation and Data Security

The Company employs reasonable security measures to maintain the confidentiality of User data and prevent unauthorized access. However, absolute security cannot be guaranteed. Consequently, if unauthorized actions occur, leading to data breaches or misuse, the User shall have no claim against the Company or Malam Group.

The Website and Information are provided “as is” without representations or warranties. The Company, Malam Group, and their affiliates assume no responsibility for the accuracy, completeness, availability, legality, or uninterrupted presentation of Information, nor for its suitability for User needs or protection against unauthorized access or damages. In cases of force majeure, neither the Company nor the Malam Group shall bear any liability for direct or indirect damages.

The Company, Malam Group, and their representatives shall not be liable for any direct or indirect use of the Website, Services, or Information, nor for reliance thereon. Users are solely responsible for obtaining professional advice and should not rely solely on Website content for decision-making. The User releases the Company, Malam Group, and Information Providers from any claim for damages.

Direct Marketing

If the User voluntarily provides contact details (such as name and email), they consent to their storage by the Company and/or Malam Group for marketing, advertising, and direct mail purposes. Users may opt out at any time via the unsubscribe link in emails or by submitting a written request through the contact page. Unsubscribing may take up to 14 business days.

Miscellaneous

The Terms is governed exclusively by Israeli law. Any disputes related to the Terms, its interpretation, or enforcement shall be resolved by a sole arbitrator appointed by mutual consent, conducted under the Israeli Arbitration Law (1968), and held in Petah Tikva. If no agreement is reached within 30 days, the Chairman of the Israeli Bar Association shall appoint the arbitrator. The arbitrator’s decision shall be final and enforceable in a competent court, with the power to grant interim measures.
